The terms that govern your access to and use of Onnie.

The short version

Onnie is a subscription-based AI workspace platform. Your content is yours — we never claim ownership over what you build. Paid plans include an opt-in extended usage feature that auto-bills credit and storage overages at renewal or cancellation. Free workspaces are never surprise-charged. These terms are governed by the laws of Brazil.


1. Definitions

  • "Customer" — the person or organization that creates a workspace, accepts these Terms, and is responsible for any subscription.
  • "Workspace" — an isolated environment in Onnie where you work, organize projects, and collaborate.
  • "User" — any person who accesses the Services, including workspace members and invited collaborators.
  • "Customer Content" — any data, files, records, messages, or other information you submit, create, or store within a workspace.
  • "Output" — content generated by AI features based on inputs you or your workspace configuration provides.
  • "Subscription" — a paid plan (Pro or Business) that grants access to paid features for a recurring billing period.
  • "Extended Usage" — an opt-in billing feature on paid plans that allows continued use of credits and storage beyond plan limits, charged at usage-based rates.

2. Who may use Onnie

You must be of legal age to form a binding contract under applicable law. If you access the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.


3. Accounts, workspaces, and access

  • Account security: You are responsible for keeping your login credentials confidential and for all activity that occurs under your account.
  • Workspace administrators: Owners and admins can control membership, roles, permissions, content, and configuration within the workspace. They may access, export, or remove Customer Content in accordance with their organization's policies.
  • User access: Your level of access is determined by your workspace role. Your organization may modify or revoke your access at any time.

4. License to use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services during your subscription term (or for as long as you maintain a free workspace). This license does not include the right to sublicense, resell, or create derivative works of the Services.


5. Acceptable use

Your use of Onnie is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. Violations may result in suspension or termination.


6. Customer content

6.1 You own your content

All Customer Content remains yours. Onnie does not claim ownership over anything you create in your workspace.

6.2 License to operate the service

By using Onnie, you grant Heizen a limited, worldwide, non-exclusive license to host, store, process, and display Customer Content solely to the extent necessary to deliver and operate the Services for you.

6.3 Your responsibilities

You are responsible for Customer Content. You represent that you have all rights necessary to submit it, that it does not violate any law or third-party rights, and that your Users have been given appropriate notice about how their data is handled.


7. AI features — Onnie, Onniebots, and Routines

The Services include AI-powered features: the Onnie super-agent, Onniebots (custom agents you create and configure), and Routines (automated workflows).

  • You control the inputs. Workspace owners and admins decide what data flows into AI features through configuration, permissions, and workflow design.
  • Outputs are not guaranteed. AI-generated Outputs may be inaccurate, incomplete, or unsuitable. You are responsible for reviewing Outputs before acting on them — especially in regulated, financial, medical, legal, or high-stakes contexts.
  • Function Routines are deterministic. Scheduled function routines that do not invoke AI cost zero credits. Agent routines that invoke AI draw from your credit balance.

8. Third-party services

Onnie is built on and integrates with third-party services, including AI model providers and infrastructure partners. Your use of these underlying services is subject to their own terms and privacy policies. We are not responsible for third-party services beyond what we are obligated to deliver under these Terms.

Payments are processed by Creem.io, our merchant of record. Your subscription and extended usage charges are billed and managed by Creem and are subject to their terms of service.


9. Subscriptions, billing, and extended usage

9.1 Plans

Onnie offers three plans:

9.2 Subscriptions and auto-renewal

Paid subscriptions are billed in advance on a recurring basis (monthly or annually). Your subscription renews automatically at the end of each billing period at the then-current rate unless you cancel before the renewal date.

9.3 Cancellation

You may cancel your subscription at any time from your workspace billing settings. Cancellation takes effect at the end of the current billing period. You retain access to paid features until then. We do not charge you again after cancellation.

9.4 Extended usage

Extended usage is an opt-in feature available on paid plans only. When enabled:

  • Credits consumed beyond your plan's monthly allowance are billed at $0.01 per credit.
  • Storage used beyond your plan's included limit is billed at $0.10 per GB.
  • Extended usage charges are capped at your plan's monthly price per billing period.
  • Accumulated charges are billed at your next renewal, or upon cancellation, whichever comes first.

Free workspaces are never charged extended usage. When a Free workspace reaches its credit or storage limits, AI features stop until the next credit refill — there are no surprise charges.

You may enable or disable extended usage at any time from your workspace billing settings. Disabling it does not cancel charges already accumulated in the current period.

9.5 Taxes

Prices shown are exclusive of applicable taxes (including VAT, GST, or local equivalents) unless stated otherwise. Creem.io collects and remits taxes as required in applicable jurisdictions in its capacity as merchant of record.

9.6 Non-payment

If payment fails, we may retry the charge and may suspend or downgrade your workspace after reasonable notice.


10. Privacy

Our handling of personal data is described in our Privacy Policy. You are responsible for ensuring that your use of the Services — and any Customer Content you submit — complies with applicable privacy laws.


11. Security and availability

We implement reasonable technical and organizational measures to protect the Services and Customer Content. We do not guarantee uninterrupted availability. We may perform maintenance, updates, or take the Services offline in response to security threats or operational requirements, and will try to give advance notice where possible.


12. Suspension and termination

12.1 By you

You may stop using the Services at any time. Cancelling a paid subscription is governed by Section 9.3.

12.2 By us

We may suspend or terminate your access if:

  • you breach these Terms or the Acceptable Use Policy;
  • your account poses a security risk or causes harm to the Services or other users;
  • required by law or court order;
  • you fail to pay applicable fees after notice.

Where reasonably possible, we will notify you and give you an opportunity to resolve the issue before taking action. Serious security threats or illegal conduct may result in immediate suspension without prior notice.

12.3 Effect of termination

On termination, your license to use the Services ends and you lose access to your workspace and Customer Content. We may delete workspace data after termination in accordance with our data retention practices. Export your data before cancelling if you need it.


13. Intellectual property

The Services — including the software, design, interface, and documentation — are owned by Heizen Tecnologia Ltda. and protected by applicable intellectual property laws. These Terms do not grant you any rights to our brand, trademarks, or platform beyond the limited license in Section 4.

If you submit feedback or suggestions about the Services, you grant us an irrevocable, royalty-free license to use that feedback without restriction or compensation.


14. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HEIZEN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

AI OUTPUTS ARE GENERATED PROBABILISTICALLY AND ARE PROVIDED WITHOUT WARRANTY OF ACCURACY, COMPLETENESS, OR FITNESS FOR ANY PURPOSE. DO NOT RELY ON AI OUTPUTS FOR HIGH-STAKES DECISIONS WITHOUT HUMAN REVIEW.


15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • HEIZEN WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
  • HEIZEN'S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICES WILL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR BRL 500 IF NO FEES WERE PAID).

Nothing in these Terms limits liability for gross negligence, willful misconduct, or any liability that cannot be excluded under applicable Brazilian consumer protection law (CDC).


16. Indemnification

To the extent permitted by applicable law, you agree to defend and hold harmless Heizen Tecnologia Ltda. and its directors, employees, and agents from and against any claims, damages, and expenses (including reasonable legal fees) arising out of:

  • your Customer Content;
  • your or your Users' use of the Services in violation of these Terms or the AUP;
  • your or your Users' violation of applicable law or third-party rights.

17. Governing law and jurisdiction

These Terms are governed by the laws of the Federative Republic of Brazil, and in particular by the laws of the State of São Paulo. Brazil's Consumer Defense Code (CDC) and the General Data Protection Law (LGPD) apply where relevant. Any dispute arising from these Terms shall be submitted to the exclusive jurisdiction of the courts of São Paulo, SP, Brazil, except where prohibited by applicable consumer protection law.


18. Changes to these Terms

We may update these Terms from time to time. If changes are material, we will post the updated Terms, update the "Last updated" date, and where required by law, provide advance notice. Continued use of the Services after the effective date constitutes your acceptance of the updated Terms.
